• All pre-existing intellectual property, tools, and methodologies owned by PuppyLytics remain our sole property and may be reused for other projects at our discretion.
• Any deliverables created specifically for you during the engagement will be outlined in the contract. Unless explicitly agreed upon, we retain the rights to any underlying methods, algorithms, or templates used in the deliverables.
• You agree not to reverse-engineer or replicate our proprietary methods, software, or documentation outside the scope of the agreed services.

4. Confidentiality

• Both parties agree to maintain the confidentiality of all proprietary information shared during the engagement.
• Non-Disclosure Agreements (NDAs) may be signed upon request to ensure additional confidentiality safeguards, but our liability for breaches is limited to direct damages.

5. Payment Terms

• Payment details, including rates and schedules, will be outlined in the project contract and are non-negotiable post-agreement.
• Late payments may incur interest as per the agreed terms. Failure to pay within 30 days of the due date may result in suspension of services.
• All fees are non-refundable unless explicitly stated otherwise.
• We reserve the right to charge additional fees for scope changes or expedited timelines.

6. Limitation of Liability

• PuppyLytics is not liable for any indirect, incidental, or consequential damages arising from the use of our services, including but not limited to loss of profits, data, or business opportunities.
• Our total liability is limited to the fees paid for the specific service giving rise to the claim.
• You acknowledge that the success of AI/ML projects depends on multiple factors beyond our control, including data quality and operational implementation.

7. Termination

• Either party may terminate the engagement with written notice as per the terms outlined in the project contract.
• Upon termination, all deliverables and pending invoices must be resolved within the agreed timeframe.
• We reserve the right to terminate services immediately if you breach these Terms or engage in unethical practices.

8. Data Usage and Security

• We do not store client data on our servers. Any data shared for consultation purposes remains your sole property.
• We may retain anonymized metadata from projects for research, benchmarking, and improving our services unless explicitly restricted in the contract.
• Data security measures are implemented to ensure the protection of sensitive information during our engagements, but we are not liable for breaches caused by third-party systems or services.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in India.

10. Amendments

We may update these Terms from time to time. The revised Terms will be posted on our website with a revised effective date. Continued use of our services constitutes acceptance of the updated Terms.
